Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On January 22, 2021, George Garvin Brown, IV, a director and Chairman of the Board of Directors (“Board”) of Brown-Forman
Corporation (the “Company”), notified the Company of his decision to retire from service on its Board following the completion of his current term. Consequently, Mr. Brown will not stand for re-election to the Board at the 2021 Annual Meeting of Stockholders.
