Item 5.03.
Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
Effective March 31, 2021, the Board of Directors of The Brink’s Company (the “Company”) amended Article IV of the Company’s Bylaws to clarify that the Company may hold meetings of its shareholders by means of remote communication.

This description of the amendments to the Company’s Bylaws is qualified in its entirety by reference to the full text of the Bylaws, as amended and restated (with deletions indicated by strikeout and additions indicated by italicized and underlined text), which is attached as Exhibit 3.2 to this Current Report on Form 8-K and incorporated herein by reference.
