Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
(d) On August 8, 2022, the Board of Directors (the "Board") of Moog Inc. (the "Company") took action to increase the size of the Board from eight to nine members and announced the appointment
of Mr. Mahesh Narang as a Class A director of the Company, effective August 8, 2022. Mr. Narang's initial term will expire at the Company's next annual meeting of shareholders.
Mr. Narang, age 47, is President of the Components segment at Cummins Inc., a role he assumed in March 2021. Prior to that, he served as the Vice President and General Manager of Cummins Emission Solutions.
Mr. Narang's compensation for his services as a director will be consistent with that of the Company's other non-employee directors, as described in the
Company's annual proxy statement filed with the Securities and Exchange Commission on December 23, 2021.
