Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangement of Certain Officers
On August 10, 2022, Sarah J. Anderson provided the Company with advance
written notice of her plans to resign as a member of the Boards of Directors (the “Boards”) of American States Water Company (NYSE: AWR) and Golden State Water Company effective February 8, 2023 in order to allow the Boards time to find a replacement. Ms. Anderson’s resignation as a director is purely for personal/family reasons and does not stem from any disagreement with the Boards or the Company’s management on any matters relating to the Company’s operations, policies or practices. Ms. Anderson provided the advance notice to allow the Boards sufficient time to find her replacement and to minimize disruption of the important work of the Boards.
