Explanation of Responses:
(1)  The price reported in Column 4 is a weighted average price. These shares were sold in multiple transactions at prices ranging from $385.76 to $385.86, inclusive. The reporting person undertakes to provide to S&P Global Inc., any security holder of S&P Global Inc., or the staff of the Security and Exchange Commission, upon request, full information regarding the number of shares sold at each separate price within the range set forth in footnote (1) to this Form 4.
(2)  Each restricted stock unit represents a contingent right to receive one share of SPGI common stock.
(3)  As previously reported, the reporting person was granted 2,068 restricted stock units on 4/1/21, subject to 3-year vesting. The restricted stock units vested 33% on 12/31/21 and will vest 33% on 12/31/22 and 34% on 12/31/23. Vested shares will be delivered to the reporting person no later than January 31 following the respective vesting date.
(4)  As previously reported, the reporting person was granted 2,240 restricted stock units on 4/1/20, subject to 3-year vesting. The restricted stock units vested 33% on 12/31/20 and 33% on 12/31/21 and the remaining 34% will vest on 12/31/22. Vested shares will be delivered to the reporting person no later than January 31 following the respective vesting date.
(5)  As previously reported, the reporting person was granted 2,496 restricted stock units on 3/1/22, subject to 3-year vesting. The restricted stock units will vest 33% on 12/31/22, 33% on 12/31/23 and 34% on 12/31/24. Vested shares will be delivered to the reporting person no later than January 31 following the respective vesting date.
