PART III — NARRATIVE
State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.
GSRX Industries Inc. (the “Registrant”), is unable to file its Annual Report on Form 10-K for the year ended December 31, 2020 (the “Report”) by March 31, 2021 without unreasonable effort or expense due, in part, to circumstances related to the coronavirus disease (COVID-19) pandemic. Specifically, (a) due to the remote office work deemed advisable due to COVID-19, certain of the Registrant’s personnel responsible for its financial reporting function have unable to efficiently collaborate and compile information in a timely manner, and (b) the Registrant’s receipt of information from certain third parties related to the completion of its audit has been delayed due to the inefficiencies caused by COVID-19. It is anticipated that the Form 10-K Annual Report, along with the audited financial statements, will be filed on or before April 15, 2021 following the prescribed due date of the Registrant’s Form 10-K.
