Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On September 28, 2022, Crocs, Inc. (the “Company”) and Elaine Boltz, the Company’s Executive Vice President, Chief Operating & Transformation Officer, agreed that she will separate from her position with the Company, effective October 14, 2022 (the “Termination Date”).

Upon execution of an effective separation agreement and general release, Ms. Boltz will be entitled to the payments and benefits relating to her separation from the Company as set forth in her employment offer letter with the Company as previously filed with the Securities and Exchange Commission (the “SEC”) as Exhibit 10.2 to the Company’s Quarterly Report on Form 10-Q for the quarterly period ended March 31, 2021, as filed with the SEC on April 27, 2021, as well as a special one-time discretionary lump sum payment of $419,420, less applicable taxes and withholdings. In addition, equity awards previously granted to Ms. Boltz under the Company’s 2020 Equity Incentive Plan and any other relevant plans will continue to vest or be cancelled in accordance with the terms of the applicable plans and award agreements.
