Section 8 – Other Events

Item 8.01

The Company is relying on the 45 day relief period provided under the U.S. Securities and Exchange Commission’s Order under Section 36 of the Securities Exchange Act of 1934, granting exemptions from specified provisions of the Exchange Act and certain rules thereunder, published under Release No. 34-88318, dated March 4, 2020. Pursuant to this order, any company that has significant operations in areas affected by COVID-19 may meet challenges in timely reporting obligations under the federal securities laws.

The Company has very close relationships with China and its operations in Thailand have been impacted by the shelter-in-place and quarantine measures. The quarantine has impaired the Company’s ability to perform the necessary work on its 2019, Form 10-K annual report. Due to these special circumstances, the Company seeks the 45 relief period in filing its 2019, Form 10-K annual report. The Company believes it will be able to meet its obligation to file by the end of the 45 day relief period.
