Item 4.01 Changes in Registrant’s Certifying Accountant.

On September 2, 2022, the board of directors (the “Board”) of Abri SPAC 2, Inc. (“we,” “us” or the “Company”) appointed Frazier & Deeter, LLC (“Frazier”) as the Company’s new independent registered accounting firm. During the period from July 19, 2021 (inception) through December 31, 2021, and the subsequent interim period for the three months ending March 31, 2022, prior to the engagement of Frazier, neither the Company nor anyone acting on the Company’s behalf consulted Frazier with respect to any of the matters or reportable events set forth in Item 304(a)(2)(i) and (ii) of Regulation S-K.
