Other Events.

On November 15, 2019, the Company issued a press release announcing that its Board of Directors had declared a quarterly cash dividend of $0.54 per share. The dividend is payable on January 3, 2020 to stockholders of record at the close of business on December 13, 2019. A copy of the press release is attached hereto as Exhibit 99.1.
