Item 1.01 Entry into a Material Definitive Agreement.
On August 12, 2022, Materion Corporation (the “Company”) and certain of its subsidiaries entered into an Amended
and Restated Metals Consignment Agreement (the “Consignment Agreement”) with Bank of Montreal (“BMO”). The Consignment Agreement represents the Company’s largest metals consignment facility. The Consignment Agreement matures on August 31, 2025, and amends and restates the Company’s original metals consignment agreement with BMO, dated August 27, 2019, which would have matured on August 27, 2022.

Form 8-K. The foregoing description of the Consignment Agreement is qualified in its entirety by reference to the full text of the Consignment Agreement, which is incorporated herein by reference.
