Item 1.01 Entry into a Material Definitive Agreement.

 

On March 1, 2021, Royal Caribbean Cruises Ltd. (the “Company”) entered into an underwriting agreement (the “Underwriting Agreement”) with Morgan Stanley & Co. LLC and BofA Securities, Inc., as representatives of the several underwriters named in Schedule I thereto. The Underwriting Agreement provides for the offer and sale by the Company of 16,938,148 shares of common stock of the Company (the “Common Stock”) at a price to the public of $91.00 per share (the “Offering”).

 

The Underwriting Agreement contains customary representations, covenants and indemnification provisions. The foregoing description of the Underwriting Agreement does not purport to be complete and is qualified in its entirety by reference to the full text of the Underwriting Agreement, a copy of which is filed herewith as Exhibit 1.1 and is incorporated herein by reference.

 

On March 3, 2021, the Company completed the Offering. The net proceeds from the Offering before offering expenses are approximately $1,500.5 million. The Company expects to use the net proceeds from the Offering for general corporate purposes.

 

The Offering was registered under the Securities Act of 1933, as amended, pursuant to a registration statement on Form S-3 (File Nos. 333-253674) (the “Registration Statement”) filed by the Company with the Securities and Exchange Commission (the “Commission”) on March 1, 2021. The terms of the Offering are described in the Company’s prospectus dated March 1, 2021, as supplemented by a final prospectus supplement dated March 1, 2021, as filed with the Commission on March 2, 2021.

 

The legality opinion of Watson Farley & Williams LLP issued in connection with the Offering is attached hereto as Exhibit 5.1, and is incorporated by reference into the Registration Statement.
