On September 13, 2022, Bit Origin Ltd (the “Company”) amended its memorandum of association to reflect a change in authorized share capital from “US$1,500,000 consisting of 150,000,000 shares of US$0.01 each” to “US$3,000,000 consisting of 300,000,000 shares of US$0.01 each”, as approved by the special shareholders meeting on April 27, 2022. A copy of the memorandum and articles of association is filed as Exhibit 1.1 to this report on Form 6-K and incorporated by reference herein.
This report on Form 6-K shall be deemed to be incorporated by reference into the Registration Statement of the Company on Form F-3 filed on May 26, 2020 (File No. 333-238700) and the Registration Statement of the Company on Form F-3 filed on January 10, 2022 (File No. 333-262,086) to be a part thereof from the date on which this report is furnished, to the extent not superseded by documents or reports subsequently filed or furnished.
