Results of Operations and Financial Condition.

On August 4, 2022, Select Medical Holdings Corporation (the “Company”) issued a press release announcing its financial results for its second quarter ended June 30, 2022. A copy of the press release and financial schedules are attached as Exhibit 99.1 to this report and incorporated herein by reference.

Dividend Declaration

On August 2, 2022, the Board declared a cash dividend of $0.125 per share. The dividend will be payable on or about September 2, 2022 to stockholders of record as of the close of business on August 16, 2022.
