Entry
Into a Material Definitive Agreement.
On April 16, 2019, Tech Data Corporation (the “Company”) modified its receivables securitization program by entering into the First Amendment to the Amended and Restated Transfer and Administration Agreement (the “First Amendment”) amending the Amended and Restated Transfer and Administration Agreement (the “Agreement”) entered into on August 8, 2017. The First Amendment, among other things, extends the scheduled termination date of the Agreement from August 8, 2019 to April 16, 2021 and provides for an increase in the commitments from the banks that are a party to the Agreement from $750 million
to $1 billion.
