On May 25, 2017, Amazon.com, Inc. (the “Company”) filed with the Securities and Exchange Commission a Current Report on Form 8-K (the “Initial 8-K”) to report the final voting results of the Company’s 2017 Annual Meeting of Shareholders (the “2017 Annual Meeting”). This Form 8-K/A amends the Initial 8-K to disclose the Company’s decision regarding the frequency of future advisory votes on executive compensation.

The Company adopted an annual shareholder advisory vote on executive compensation, based in part on a majority of votes cast being voted in favor of this standard at the 2017 Annual Meeting.
