Item 2.02 Results of Operations and Financial Condition.
On
April 14, 2005,
the registrant’s Colorado mining subsidiary NatCoal LLC and related
trucking subsidiary GTTC LLC (collectively,
“NKC”) sold substantially all of their assets as
previously reported on
the registrant’s current report on Form 8-K filed on
April 15, 2005 and Form
8-K/A filed on
April 21, 2005.
The registrant is filing this
current report on Form 8-K to reissue
its financial statements for the years ended
December 31, 2002,
2003 and
2004 and for the three
months ended
March 31, 2005, to reflect the reclassification of
NKC’s results of operations as
discontinued operations in accordance with Statement of Financial Accounting Standards No. 144,
“Accounting for the Impairment or Disposal of Long-Lived Assets” (
“FAS 144”).
The following information is presented in this current report on Form 8-K (the “Form
8-K”) to reflect the reclassification of NKC as discontinued
operations:

2004, that were originally filed in Part II, Item 8 of the Form 10-K;
