Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.
On June 16, 2011, the Board of Directors of United Capital Corp. (the “Company”) approved the voluntary delisting of its common stock from the NYSE Amex, and the voluntary deregistration of its common stock under the Securities Exchange Act of 1934, as amended.The Company issued a press release announcing this approval on June 17, 2011. A copy of the press release is being filed as an exhibit to this Form 8-K and the contents of the press release are incorporated
herein by reference.
