5.07 Submission of Matters to a Vote of Security Holders.
Acacia Research Corporation (the “Company”) held its 2015 annual meeting of stockholders (the “Annual Meeting”) on Thursday, May 14, 2015, at the Company’s corporate headquarters located at 520 Newport Center Drive, 7th Floor, Newport Beach, California. As of March 23, 2015, the record date for the Annual Meeting, the Company had 51,067,566 shares of its common stock outstanding and entitled to vote. At the Annual Meeting, 46,768,674 shares of the Company’s common stock were present in person or represented
by proxy and entitled to vote, constituting a quorum for the conduct of business at the Annual Meeting.
The following sets forth detailed information regarding the voting results at the Annual Meeting:
Proposal No. 1: The Company’s stockholders elected each of the two Class III director nominees named below to serve on the Company’s Board of Directors for a three-year term expiring at the Company’s 2018 annual meeting of stockholders and until their respective successors are duly elected and qualified, or until their earlier resignation or removal.
