Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On January 14, 2021, the Board of Directors of Tractor Supply Company (the "Company") appointed Joy Brown as a new director. Ms. Brown has also been appointed as a member of the Company's Audit Committee. Ms. Brown's initial term will expire on the date of the Company's 2021 Annual Meeting of Shareholders. Ms. Brown qualifies as an independent director within the meaning of the listing standards of the NASDAQ Global Select Market.

There is no arrangement or understanding between Ms. Brown and any other person pursuant to which she was elected as a director. There are no transactions in which Ms. Brown has an interest requiring disclosure under Item 404(a) of Regulation S-K. Ms. Brown will participate in the Company's standard director compensation program as described in the Company's Definitive Proxy Statement, which was filed with the Securities and Exchange Commission on March 23, 2020.

On January 14, 2021, the Company issued a press release announcing the appointment of Ms. Brown as a director. A copy of the press release is attached hereto as Exhibit 99.1.
