Item 8.01 Other Events.

On February 17, 2021, Tractor Supply Company (the "Company") issued a press release announcing an agreement to acquire all of the outstanding equity interests of Orscheln Farm and Home, LLC, a farm and ranch retailer with 167 stores in 11 states. The acquisition is conditioned on the receipt of regulatory approval and satisfactory completion of customary closing conditions.

A copy of the press release announcing the acquisition agreement is furnished as Exhibit 99.1 to this Current Report on Form 8-K.
