Item 3.01. Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.

On March 30, 2009, the Board of Directors of Proxim Wireless Corporation decided to commence the voluntary delisting of Proxim’s common stock from the Nasdaq Capital Market, the principal trading market for the common stock. This action was taken as part of Proxim’s intention to transfer the trading of its common stock to the over-the-counter market run by Pink OTC Markets Inc. Proxim expects to file a Form 25 to delist the common stock from the Nasdaq Capital Market on or about April 13, 2009. Proxim expects that the delisting will become effective on or about April 23, 2009 with the last day of trading on the Nasdaq Capital Market expected to be on or about April 22, 2009.

On April 2, 2009, Proxim issued a press release in connection with those activities, which is attached hereto as Exhibit 99.1. The information in the press release is incorporated herein by reference.
