ITEM 1.01.    Entry into a Material Definitive Agreement                        

           On June 28, 2007, the Wells Fargo Mortgage Backed Securities 2007-8
Trust, Mortgage Pass-Through Certificates, Series 2007-8 (the "Certificates")   
were issued pursuant to a pooling and servicing agreement, dated as of June 28, 
2007 (the "Pooling and Servicing Agreement"), among Wells Fargo Asset Securities
Corporation (the "Company"), as depositor, Wells Fargo Bank, N.A., as master    
servicer (the "Master Servicer"), and HSBC Bank USA, National Association, as   
trustee (the "Trustee"). On December 4, 2007, the Pooling and Servicing         
Agreement was amended pursuant to Amendment No. 1, dated as of December 4, 2007 
("Amendment No. 1"), among the Company, the Master Servicer and the Trustee. A  
copy of Amendment No. 1 is filed as an exhibit hereto.
