Departure
of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On January 19, 2015, Hank Halter resigned from the Company’s Board of Directors, effective immediately, for personal reasons due to certain pressing family obligations. Mr. Halter has served on the Company’s Board of Directors since April of 2012. With his resignation, Mr. Halter also resigned from his role as Chairman of the Company’s Audit Committee. With Mr. Halter’s departure, the Board has appointed Gary Scott as the Audit Committee Chairman and has
determined that Mr. Scott qualifies as an “audit committee financial expert,” as that term is defined by rules of the Securities and Exchange Commission.
