Item 8.01 Other Events

On November 23, 2020, the Board of Directors of the Company declared a regular quarterly cash dividend of seventy-nine cents ($0.79) per share on the Company’s common stock. The dividend is payable on January 4, 2021 to shareholders of record on December 4, 2020.
