On May 17, 2016, Crown Holdings, Inc. (the “Company”) entered into Amendment No. 2 (the “Amendment”), effective as of May 17, 2016, to the Senior Executive Retirement Agreement by and between the Company and Gerard Gifford, which was entered into as of June 1, 2012 and subsequently amended as of December 28, 2012 (the “SERP Agreement”). The Amendment modified the SERP Agreement to provide for accelerated vesting of Mr. Gifford’s benefit under
the Company’s Senior Executive Retirement Plan in the event of Mr. Gifford’s death.
