Optional Redemption | Prior to the date that is three months prior to the scheduled maturity of an applicable series of notes, the Issuer may at any time redeem all or a part of the series of the notes, at a redemption, or “make-whole,” price equal to the greater of:
(i) 100% of the principal amount of the series of notes to be redeemed; and
(ii) the sum of the present values of the remaining scheduled payments of principal of and interest on the series of notes to be redeemed (exclusive of interest accrued to the applicable redemption date) discounted to such redemption date on a semi-annual basis, assuming a 360-day year consisting of twelve 30-day months, at the then current Treasury Rate plus 50 basis points,
plus accrued and unpaid interest, if any, to, but not including, the applicable redemption date.
On or after the date that is three months prior to the scheduled maturity of an applicable series of notes, the Issuer may at any time and from time to time redeem all or a part of a series of notes at a redemption price equal to 100% of the principal amount of the notes to be redeemed, plus accrued and unpaid interest thereon to but excluding the redemption date. | |
Change of Control Triggering Event | Upon the occurrence of a “change of control triggering event,” the Issuer will be required to make an offer to purchase the notes at a price equal to 101% of their principal amount, plus any accrued and unpaid interest to, but not including, the date of repurchase. | |
Use of Proceeds | The Issuer intends to use the net proceeds from the offering to fund the redemption of all $400 million aggregate principal amount outstanding of the Issuer’s 7.75% senior subordinated notes due 2020. The Issuer is |

The Issuer may also fund such refinancing activities with cash on hand, borrowings under its revolving credit facility or the issuance of new senior or subordinated debt securities. The Issuer expects that delivery of the notes will be made to investors on or about November 21, 2014, which will be the tenth business day following the date of this pricing term sheet (such settlement being referred to as “T+10”). Under Rule 15c6-1 under the Exchange Act, trades in the secondary market are required to settle in three business days, unless the parties to any such trade expressly agree otherwise. Accordingly, purchasers who wish to trade notes prior to the delivery of the notes hereunder will be required, by virtue of the fact that the notes initially settle in T+10, to specify an alternate settlement arrangement at the time of any such trade to prevent a failed settlement.
