EXPLANATORY NOTE
This Amendment No. 1 on Form 6-K/A (“Amendment No. 1”) amends the Form 6-K filed on November 10, 2016 (the “Original Form 6-K”) by AudioCodes Ltd.
This Amendment No. 1 is being filed for the purpose of correcting the second paragraph under the caption “Record Date and Shares Outstanding” on page 1 of the Proxy Statement included in Exhibit 99.1 to the Original Form 6-K, wherein the number of Ordinary Shares outstanding and held in treasury were inadvertently transposed. Accordingly, such paragraph is hereby amended and restated to read as follows: “As of November 1, 2016, 55,316,720 Ordinary Shares were issued, of which 33,096,969 Ordinary Shares were outstanding and 22,219,751 Ordinary Shares were held in treasury.”
Other than the foregoing, all other information set forth in the Original Form 6-K, including the Notice of and Proxy Statement for the Annual General Meeting of Shareholders and Form of Proxy Card filed therewith as exhibits, remains unchanged.
