ITEM 2.02. RESULTS OF OPERATIONS AND FINANCIAL CONDITION

On February 8, 2011, Sonic Solutions (“Sonic”) issued a press release regarding its financial results for the third fiscal quarter ended December 31, 2010. A copy of the press release, dated February 8, 2011 is attached hereto as Exhibit 99.1.
