PART  III  -  NARRATIVE                                                         

State  below  in  reasonable detail the reasons why Forms 10-K and 10-KSB, 20-F,
11-K,  10-Q,  N-SAR,  or  the transition report on portion thereof, could not be
filed  within  the  prescribed  time  period.                                   

The  Registrant  is unable to file, without unreasonable effort and expense, its
Form 20-F Annual Report for the year ended September 30, 2000.  The Registrant's
Form  20-F  is  being finalized, and it is anticipated that the Form 20-F Annual
Report,  along  with  the consolidated financial statements, will be filed on or
before  the  15th  calendar  day  following  the  prescribed  due  date  of  the
Registrant's  Form  20-F.  Due  to  the  recent  appointment of new officers and
directors  for  the  Registrant in February, 2001, the Registrant was delayed in
preparing  and  completing  it  Form 20-F for the year ended September 30, 2000.
Because the Registrant's management was focussed on the smooth transition of the
new  management,  it  was  not  able  to  compile  the requisite information and
documentation  necessary  to  complete the Form 20-F without unreasonable effort
and  expense.
