Explanatory Note
This Amendment No. 1 to the Current Report on Form 8-K (“Amendment”) is being furnished to amend Item 8.01 of the Current Report on Form 8-K furnished on July
31, 2020 reporting the declaration made by the Board of Directors of Astec Industries, Inc. (the “Company”) in regard to the quarterly cash dividend record and payment date for the Company’s common stock. The record and payment date have been revised and are now August 31, 2020 and September 10, 2020, respectively.
Item 8.01. Other Events
On August 21, 2020, Astec Industries, Inc. (the "Company") announced that it will be revising the record and payment date for its recently announced quarterly cash dividend on its common stock. The Board of Directors of the
Company declared a quarterly cash dividend of eleven cents ($0.11) per share on the Company's common stock to be paid on or after, September 10, 2020, to the Company’s common stock shareholders of record as of August 31, 2020.
