Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 27, 2020, George A. Scangos, Ph.D. notified Exelixis, Inc. (the “Exelixis”) of his decision not to stand for re-election to the Board of Directors of Exelixis (the “Board”) at the 2020 annual meeting of stockholders of Exelixis (the “Annual Meeting”) and resign from the Board effective as of the Annual Meeting. Dr. Scangos indicated that his decision not to stand for re-election was due to other professional commitments and not a result of any disagreement with Exelixis on any matter relating to Exelixis’ operations, policies or practices.
