Item 5.07 Submission of Matters to a Vote of Security Holders. |
On
March 19, 2020, Ark Restaurants Corp. (the “Company”) held its Annual Meeting of Shareholders (the “Meeting”). The following matters were submitted to a vote of the Company’s shareholders at the Meeting: (i) the election of nine (9) directors to serve until the next annual meeting of the shareholders and until their successors are duly elected and qualified; (ii) the ratification of the appointment of CohnReznick LLP as the Company’s independent registered public accounting firm for the 2020 fiscal year; (iii) an advisory resolution approving the compensation of the Company’s named executive officers; and (iv) an advisory vote on the frequency of future
advisory votes on executive compensation. At the Meeting, a total of 3,031,535 shares of the common stock of the Company (the “Common Stock”) voted in person or by proxy, out of 3,500,907 outstanding shares of Common Stock entitled to vote at the Meeting.
