ITEM 8.01	OTHER EVENTS.

On March 26, 2020, Consolidated Edison Company of New York, Inc. (“CECONY”) entered into an underwriting agreement with Barclays Capital Inc., BofA Securities, Inc., J.P. Morgan Securities LLC and Mizuho Securities USA LLC, as representatives of the underwriters named therein, for the sale of $600 million aggregate principal amount of CECONY’s 3.35% Debentures, Series 2020 A (the “Series 2020 A Debentures”) and $1,000 million aggregate principal amount of CECONY’s 3.95% Debentures, Series 2020 B (the “Series 2020 B Debentures,” and together with the 2020 A Debentures, the “Debentures”. The Debentures were registered under the Securities Act of 1933 pursuant to a Registration Statement on Form S-3 (No. 333-226539, effective August 2, 2018).
