Explanation of Responses:
(1) The transaction referenced reflects only the acquisition of Mr. Ching of all of the share capital of Hearty Holdings Ltd. ("Hearty") from its two shareholders. Hearty is the record owner of 10,113,435 shares of the Company.

(2) Mr. Ching is a 70% owner of Megastone Development Limited, the record owner of 2,642,629 shares, and, as a result of the transaction referenced in Footnote (1), a 100% owner of Hearty, the record owner of 10,115,435 shares of the Issuer.
