(the “Reporting Person”) serves as the investment manager to certain managed accounts (the “Accounts”) and possesses the sole power to vote and the sole power to direct the disposition of all securities of Digimarc Corporation (the “Issuer”) held by the Accounts. The general partner of the Reporting Person is Lagoda Investment Management, LLC, a Delaware limited liability company (the “General Partner”). Richard Bayles, Fatima Dickey and Youngdawn Daniel Ha, as the managing principals of the General Partner, possess the voting and dispositive power with respect to all securities beneficially owned by the Reporting Person

 

As of December 31, 2017, the Accounts held 670,859 shares of common stock of the Issuer, par value $0.001 per share (the “Shares”).

 

Based on information disclosed in the Issuer’s Quarterly Report on Form 10-Q for the fiscal quarter ended September 30, 2017, filed with the Securities and Exchange Commission on October 27, 2017, there were 11,329,154 Shares outstanding as of October 23, 2017. As a result of the foregoing, for purposes of Reg. Section 240.13d-3, the Reporting Person beneficially owns 670,859 Shares, or 5.9% of the Shares deemed issued and outstanding as of December 31, 2017.

This report on Schedule 13G (this “Schedule 13G”) is being filed by Lagoda Investment Management, L.P. (the “Reporting Person”). The Reporting Person serves as the investment manager to certain managed accounts (the “Accounts”), and possesses the sole power to vote and the sole power to direct the disposition of all securities of Digimarc Corporation (the “Issuer”) held by the Accounts. The general partner of the Reporting Person is Lagoda Investment Management, LLC, a Delaware limited liability company (the “General Partner”). Richard Bayles, Fatima Dickey and Youngdawn Daniel Ha, as the managing principals of the General Partner, possess the voting and dispositive power with respect to all securities beneficially owned by the Reporting Person.

 

As of December 31, 2017, the Accounts held 670,859 shares of common stock of the Issuer, par value $0.001 per share (the “Shares”).
