Item 5.02
Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On December 13, 2019, the Board of Directors (the “Board”) of The Davey Tree Expert Company (the “Company”) appointed Charles D. Stapleton to the Board, effective immediately, for a term that will expire at the Company’s 2020 Annual Meeting of Shareholders, as disclosed in the Company’s Current Report on Form 8-K filed with the Securities and Exchange Commission on December 19, 2019 (the “Original Form 8-K”). Committee assignments for Mr. Stapleton were not determined as of the filing of the Original Form 8-K.

On March 5, 2020, the Board appointed Mr. Stapleton to the Audit Committee and the Nominating and Corporate Governance Committee, effective as of the same date. This Form 8-K/A is being filed solely to disclose committee assignments for Mr. Stapleton.
