Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On January 14, 2020, Scott W. Wine notified the Board of Directors of Terex Corporation (the “Company”) that he will not be standing for re-election as a director at the Company’s 2020 annual meeting of stockholders (the “2020 Annual Meeting”). Mr. Wine will continue to serve as a director until the Company’s 2020 Annual Meeting. Mr. Wine’s decision to not stand for re-election is not related to any disagreement between him and the Company.
