ITEM 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers
On December 27, 2019, the Compensation, People and Culture Committee (the “Committee”) of the Board of Directors of Nordstrom, Inc. (the “Company”) approved new severance arrangements with respect to members of the Company’s senior management (collectively, “Participants”), including the Company’s principal financial officer, principal accounting officer and named executive officers. Under these new arrangements, if a Participant’s employment is terminated by the Company for any reason other than cause, the Participant may be entitled to receive a severance benefit of either eighteen or twenty-four months of the Participant’s base pay. A Participant’s entitlement to severance under these arrangements is conditioned upon the Participant’s agreement to comply with certain non-solicitation, and in some cases, non-competition obligations in favor of the Company.
