Item 5.02.
Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On March 23, 2020, the Compensation Committee of the Board of Directors of Livongo Health, Inc. (the “Company”) adopted an amendment (the “Amendment”) to the Company's 2019 Equity Incentive Plan, 2014 Stock Incentive Plan and 2008 Stock Incentive Plan (collectively, the “Plans”) to formalize a policy regarding the effect of a holder’s death on his or her unvested equity awards covering shares of the Company’s common stock. The Amendment provides that, so long as the holder remains a service provider for the
Company at the time of his or her death, (i) 75% of the unvested shares subject to the holder's outstanding awards will be accelerated and vest, and (ii) the remaining 25% of the unvested shares subject to such outstanding awards will not be returned to the applicable Plan. Instead, the Company currently intends to make a donation to Living on the Go Foundation in honor of the deceased holder of a number of shares of the Company’s common stock equal to the remaining 25% of unvested shares.
