ITEM 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 20, 2020, Martha A.M. Morfitt provided Mercer International Inc. (the "Company") notice of her resignation as a director of the Company with effect as of such date. Ms. Morfitt was the Chair of the Company's Compensation and Human Resources Committee and a member of its Audit Committee. Ms. Morfitt's resignation was not related to any disagreement with the Company on any matter relating to the Company's operations, policies or practices.
