Item 8.01 Other Events.

The following directors and officers of the Company entered into individual sales plans pursuant to Rule 10b5-1 of the Securities Exchange Act of 1934, as amended, for trading in shares of the Company’s Class A Common Stock: Chairman C. James Koch, President & Chief Executive Officer David A. Burwick, Chief Financial Officer Frank H. Smalla, Chief Accounting Officer Matthew D. Murphy, and Vice President, Legal & Deputy General Counsel Tara L. Heath. Additionally, The Fisher Koch Family Foundation has entered into a Rule 10b5-1 Plan for trading in shares of the Company’s Class A Common Stock. Mr. Koch manages the Foundation and his spouse, Director Cynthia A. Fisher, is a member of the Board of Directors of the Foundation.

The aggregate number of shares that may be sold pursuant to these 10b5-1 plans is 147,581 shares. The purpose of each of these 10b5-1 plans is to provide liquidity and investment diversification. Once executed, transactions under each 10b5-1 plan will be disclosed publicly through Form 4 and/or Form 144 filings with the Securities and Exchange Commission to the extent.
