Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
In a meeting on October 13, 2020, the Board of Directors of Nautilus, Inc. (the “Company”) approved, upon recommendation of the Compensation Committee of the Board of Directors, an increase in the annual base salary of Aina Konold, the Company’s Chief Financial Officer to $385,000 and an increase in the annual base salary of Christopher Quatrochi, the Company’s Senior Vice President,
Innovation to $325,000.
On October 13, 2020, the Board of Directors of the Company also promoted Becky Alseth from Vice President, Marketing and Direct to Chief Marketing Officer. In connection with her promotion, Ms. Alseth will receive an annual base salary of $325,000 and was granted 10,000 restricted stock units (“RSUs”) under the Company’s Amended 2015 Long Term Incentive Plan. The RSUs will vest in three equal annual installments on the first three anniversaries of the date of grant, subject to Ms. Alseth’s continued service until each vesting date.
