State below in reasonable detail the reasons why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.
LORD GLOBAL CORPORATION. (the “Registrant”) was unable, without unreasonable effort or expense, to file its Annual Report on Form 10-K for the year ended July 31, 2020 (the “Annual Report”) by the October 30, 2020 filing date applicable to smaller reporting companies. The Company is in the process of preparing and reviewing the financial and other information for its Form 10-K report for the annual period ended July 31, 2020 and does not expect the report will be finalized for filing by the prescribed due date without unreasonable effort or expense. The untimely death on October 23, 2020 of William Marlette, one of the Company’s Directors, and the Company’s work on its announced potential merger/acquisition has delayed the preparation of its financial statements. The Company needs additional time to complete its financial statements, as well as to have the report reviewed by its accountants and attorneys. The Company undertakes the responsibility to file such report no later than twenty business days following the prescribed due date.
