ITEM 5.02 DEPARTURE OF DIRECTORS OR CERTAIN OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF CERTAIN OFFICERS; COMPENSATORY ARRANGEMENTS OF CERTAIN OFFICERS

 

On July 25, 2019, Mr. John Flynn, our Chief Executive Officer and a director of the Company, resigned from both positions as part of his departure from the Company. Mr. Flynn served as the Chief Executive Officer and a member of our Board since March 8, 2019. This resignation is not the result of any disagreement with the Company on any matter related to the Company’s operations, policies, or practices.

 

On July 25, 2019, the board of directors appointed Mr. Michael Hill, who has been a director of the Company since August 31, 2012, as interim Chief Executive Officer of the Company. Mr. Hill, 43, served as Chief Executive Officer from August 31, 2012 to March 8, 2019. The board of directors has agreed to compensate Mr. Hill at a rate of $17,500 per month during his interim service to the Company.
