Item 8.01. Other Events.

On January 24, 2020, Cowen Inc. (the “Company”) issued a press release announcing that the Company’s Board of Directors has declared a quarterly cash dividend of $14.06 per share on the Company’s 5.625% Series A Cumulative Perpetual Convertible Preferred Stock. The dividend is payable on February 18, 2020, to the holders of record at the close of business on February 1, 2020. A copy of the press release is attached hereto at Exhibit 99.1.
