Item 1.01. Entry into a Material Definitive Agreement.

The Board of Directors (the "Board") of Harte Hanks, Inc. (the "Company") approved a form of indemnification agreement for directors and certain executive officers (the "Indemnification Agreement") and, entered into the Indemnification Agreement with each of such persons on December 13, 2019. The Board determined that it is in the best interests of the Company and its stockholders to enter into Indemnification Agreements in order to attract and retain highly competent individuals to serve, or continue to serve, as directors and executive officers. The Company anticipates that it will enter into a substantially similar Indemnification Agreement with any new directors or executive officers.

The Indemnification Agreements will, among other things, subject to certain exceptions, require the Company to indemnify, and advance expenses to, each director and executive officer to the fullest extent permitted by the laws of the State of Delaware, including indemnification of expenses such as attorneys' fees, judgments, fines and settlement amounts incurred by the director or executive officer in any action or proceeding, including any action or proceeding by or in right of the Company, arising out of such person's services as a director or executive officer.
