Submission of Matters to a Vote of Security Holders. |
The 2020 Annual Meeting of Stockholders (the “Annual Meeting”) of Natural Grocers by Vitamin Cottage, Inc. (the “Company”) was held on March 4, 2020 in Lakewood, Colorado. A total of 20,963,910 shares of the Company’s common stock were represented at the Annual Meeting in person or by proxy, constituting approximately 93.2% of the outstanding shares entitled to vote at the Annual Meeting.
At the Annual Meeting, the Company’s stockholders voted on the following matters, which are described in detail in the proxy statement filed by the Company with the Securities and Exchange Commission on January 17, 2020:

To elect Zephyr Isely and Michael T. Campbell as Class II directors, each to serve for a three-year term expiring at the Company’s 2023 Annual Meeting of Stockholders (“Proposal No. 1”); and |

2. |
To ratify the appointment of KPMG LLP (“KPMG”) as the Company’s independent registered public accounting firm for the fiscal year ending September 30, 2020 (“Proposal No. 2”). |
