On February 10, 2021, the Board of Directors (the “Board”) of BlueLinx Holdings Inc. (the “Company”) elected Carol B. Yancey as a director, effective February 15, 2021, with a term
expiring at the 2021 annual meeting of the Company’s stockholders. The Board has determined that Ms. Yancey is “independent” under the corporate governance standards of the New York Stock Exchange.
Ms. Yancey will receive compensation for her service as a non-employee director in accordance with the Company’s annual director compensation program. In connection with Ms. Yancey’s appointment to the Board, the Board appointed Ms. Yancey to serve on the Audit Committee and the Nominating and Corporate Governance Committee of the Board.
There are no arrangements or understandings between Ms. Yancey and any other persons pursuant to which Ms. Yancey was selected as a director,
and there have been no transactions since the beginning of the Company’s last fiscal year, or are currently proposed, regarding Ms. Yancey that are required to be disclosed pursuant to Item 404(a) of Regulation S-K.
