(1) TCA Global Credit Master Fund L.P. beneficially owns 51 shares of Series A Preferred Stock par value $0.001 per share, with votes in the amount of 129,609,298 of capital stock outstanding. Each one (1) share of Series A Preferred Stock has voting power equal to 1,296,066 votes for total aggregate voting power of 66,099,349 or 51% of the total outstanding voting power of the Company. The Series A Preferred Stock is solely voting stock, has no economic rights, and does not convert into common stock of the Company. Mr. Bob Press is the Chief Executive Officer of TCA Fund Management Group, the investment manager of TCA Global Credit Master Fund L.P.
